Terms of Use

1. INTRODUCTION AND ACCEPTANCE

Just Swap ("Just Swap") is the brand and digital platform operated by Puurnam Circularity LLP, a limited liability partnership incorporated under the laws of India ("Puurnam"). Just Swap is not a separate legal entity from Puurnam. In these Terms, references to "Just Swap", "we", "us" or "our" mean Puurnam Circularity LLP acting through and in connection with the Just Swap brand and Platform. Puurnam administers and operates the Platform and may introduce, modify, suspend or discontinue Platform features and services subject to these Terms and Applicable Law. The Platform enables Users to list, discover and interact in relation to personally owned household items, participate in Community features and access Platform Services and Assisted Services.

These Terms of Use ("Terms") govern access to and use of the Just Swap website, applications, features, services and related functionality (collectively, the "Platform"). They apply to all Users, including Users who create Listings, participate in Community features, purchase Plans or Assisted Services, submit Content, use Business Clear-Out services or otherwise use the Platform.

By registering for an Account, creating or submitting a Listing, purchasing a Plan or Assisted Service, submitting or approving Content, or otherwise using the Platform, you agree to be bound by these Terms with Puurnam Circularity LLP as the operator of the Just Swap Platform. These Terms shall be read with the Privacy Policy and any other Policies or specific terms expressly applicable to a particular service or feature.

2. DEFINITIONS

"Account" means the user account created to access and use features of the Platform following registration.

"Assisted Services" means services provided by Just Swap in connection with assessment, documentation, photography, preparation, management or facilitation of Listings and clear-out activities, including Home Clear-Outs and Business Clear-Outs.

"Business Clear-Out" means an Assisted Service relating to clearance of items from a business, commercial establishment, office or other business premises.

"Business User" means a User who accesses or uses the Platform in connection with a business, commercial establishment, organisation or other non-personal activity, including a User who purchases or uses a Business Clear-Out.

"Community" means the community feature or section of the Platform through which Users may share and access Community Content within a designated community.

"Community Content" means text, questions, requests, recommendations, contact details, experiences, stories, announcements, events, tips, comments and other material submitted, posted, shared or otherwise made available by a User through Community.

"Community Service Provider" means a person or business whose service-related information is displayed by Just Swap through Community pursuant to an applicable service, Plan or paid feature and following the applicable onboarding or verification process specified by Just Swap.

"Content" means text, descriptions, photographs, images, videos, stories, reviews, ratings, Community Content and other material submitted, uploaded, displayed or otherwise made available by a User through or in connection with the Platform.

"Home Clear-Out" means an Assisted Service relating to clearance and Listing of permitted personally owned household items from a residential premises.

"Listing" means a listing, post, description or other representation made available by a User on the Platform concerning an item that the User proposes to sell, exchange, donate, lend, borrow, give away or otherwise make available to another User, subject to the features and categories permitted by Just Swap.

"Platform" means the Just Swap website, applications, digital interfaces, systems, features and services operated or made available by or on behalf of Puurnam Circularity LLP.

"Platform Services" means digital services and functionalities through which Users access Listings, discover or express interest in permitted items, interact with other Users and use Community or other Platform features, excluding Assisted Services unless expressly stated otherwise.

"Plan" means a subscription, listing plan, paid feature or other plan made available by Just Swap that provides specified access, Listing limits, visibility, duration or other benefits.

"Policies" means the Privacy Policy and any other policies expressly incorporated into these Terms.

"Soul Story" means a story, narrative, photograph, image or other Content voluntarily submitted by a User in connection with an interaction or Transaction and intended for publication as part of Just Swap’s Soul Stories or related community or promotional Content.

"Transaction" means any exchange, sale, donation, lending, borrowing, transfer, giving away or other arrangement concerning an item between Users.

"User”, “you” and “your” mean any individual or entity that accesses or uses the Platform, registers for an Account, creates or submits a Listing, purchases a Plan or Assisted Service, participates in Community or otherwise uses the Platform. 

"Applicable Law" means the laws of India, including applicable statutes, rules, regulations, notifications, directions, orders and other legally binding requirements in force in India and applicable to Just Swap, the Platform, the relevant User, Transaction or service.

"Assisted Service Listing" means a Listing prepared, photographed, uploaded or otherwise created or facilitated by Just Swap as part of an Assisted Service and approved for publication by the relevant User.

In these Terms: (a) words importing the singular include the plural and vice versa; (b) headings are for convenience and do not affect interpretation; (c) references to legislation include amendments, re-enactments and replacements; and (d) "include" and "including" are illustrative and not limiting.

3. ELIGIBILITY AND ACCOUNTS

You must be at least 18 (eighteen) years of age and legally competent to enter into a binding contract under Applicable Law to create an Account or use the Platform. Persons who are not legally competent to contract may not create an Account or enter into Transactions through the Platform.

If you use the Platform on behalf of a business, organisation or other legal entity, you represent and warrant that you are authorised to act for and bind that entity.

You must provide accurate, complete and non-misleading information and keep it updated. You are responsible for maintaining the confidentiality of your Account credentials and for activity undertaken through your Account, and must notify Just Swap of unauthorised access to your Account.

You must not create or operate multiple Accounts to circumvent restrictions, suspension, bans, Listing limits or other Platform controls, or for fraudulent, misleading or unlawful purposes. Just Swap may take action against duplicate, fraudulent or misuse-related Accounts or Listings.

4. LOCATION

The Platform may request device location for location-based features, including search, service areas and other location functionality. Location permission may be declined unless required for a particular feature. Users may be required to provide a base address or other location information necessary for registration or relevant Platform features. Location information, including GPS-derived coordinates, will be processed as described in the Privacy Policy.

5. ROLE OF JUST SWAP

Just Swap provides a Platform through which Users may create and access Listings, discover and express interest in permitted items, participate in Community features and interact with other Users.

Just Swap is not the owner, seller, purchaser, buyer, lender, borrower, donor, recipient or principal party to any Transaction between Users and does not become a party to a Transaction solely by providing Platform Services, unless Just Swap expressly provides a separate service or enters into a separate contractual arrangement.

Users are responsible for evaluating Listings, Community Content and persons or businesses referred to through Community, and for determining whether to communicate, transact or otherwise engage with another User, person or business.

Just Swap does not represent or guarantee the accuracy, authenticity, availability, legality, safety, quality or suitability of Listings or Community Content, or the completion, performance or outcome of any Transaction or engagement between Users or with persons or businesses referred to through Community, except to the extent expressly undertaken by Just Swap under a separate service or as required by Applicable Law.

A person or business mentioned or recommended by a User through Community does not become a Community Service Provider solely as a result of that mention or recommendation. A Community Service Provider is displayed through Community pursuant to the applicable service, Plan or paid feature and the applicable onboarding or verification process specified by Just Swap.

Nothing in these Terms excludes or limits any liability, right or remedy that cannot be excluded or limited under Applicable Law.

6. PLATFORM SERVICES AND LISTINGS

Platform Services may include Listing creation and display, search and discovery, location-based functionality, expression of interest and matching, consent-based external communication, Community features, reviews, ratings and Soul Stories, together with other features introduced by Just Swap.

Community is a feature of the Platform through which Users may share and access Community Content within a designated community. Community Content is separate from Listings, and a Community post or other Community Content does not constitute a Listing unless expressly identified as a Listing by Just Swap.

Just Swap may process, categorise, extract, organise and display Community Content through the Platform in accordance with the applicable feature, Policies and Applicable Law. The publication, categorisation or display of Community Content does not constitute verification, certification, endorsement or guarantee by Just Swap of the content, person, business, service or information referred to in that Community Content.

Users may create Listings only for categories permitted by Just Swap from time to time, subject to applicable eligibility requirements, Policies and Applicable Law. At present, ordinary personal Listings are permitted for personally owned household items no longer required, including used or unused household items, unwanted gifts, inherited items or surplus personal purchases. Such items must be personally owned and must not constitute commercial or retail inventory except where expressly permitted through a Business Clear-Out service. Just Swap may introduce additional categories, features or services from time to time, subject to applicable eligibility requirements, Policies and Applicable Law.

A person or business referred to or recommended through Community does not become a Community Service Provider solely because of that reference or recommendation. Just Swap may contact persons or businesses identified through Community for possible inclusion as a Community Service Provider, subject to the applicable onboarding, verification, service and Plan terms.

Where a Community Service Provider is displayed through Community, the display, visibility and duration of that display are subject to the applicable service, Plan or paid feature and its applicable terms. Payment for such display does not constitute a guarantee or endorsement by Just Swap of the provider's services, performance, qualifications, pricing, availability or conduct, except to the extent expressly stated in the applicable service terms or required by Applicable Law.

Each Listing must contain accurate information about the item, including its description, relevant specifications, condition, material defects or damage, period of use where applicable, reason it is no longer required and photographs of the actual item.

Each Listing must contain at least one photograph of the actual item. Stock photographs, photographs copied from another website, photographs of a materially different item, misleading images and AI-generated images must not be used in place of photographs of the actual item. Photographs must accurately represent the item and its visible condition.

Users must not upload photographs containing another person's identifiable image, personal information or other third-party material without the rights and permissions required for lawful submission. Where Content contains a child's personal data, the User must obtain any consent required by Applicable Law.

An item acquired by the User through Just SWAP may not be re-listed by that User on the Platform until at least six months have elapsed from the date of acquisition. This restriction applies irrespective of whether the item was acquired through a sale, exchange, donation, gift or any other transaction facilitated through Just SWAP.

7. ASSISTED SERVICE LISTINGS

Where an Assisted Service includes an initial site assessment, photography, documentation, preparation or uploading of a Listing, Just Swap may perform those activities as part of the service. The User remains responsible for the accuracy of the item information and must review and approve the Assisted Service Listing before publication.

By approving publication, the User confirms that the Listing and photographs are accurate and that the User has the necessary rights and authority to make the item available.

Assistance provided by Just Swap does not constitute an independent inspection, verification, certification, endorsement or guarantee of the item or information supplied by the User.

Published Assisted Service Listings are subject to the applicable editing and removal process. Just Swap may require a Listing to be re-prepared or re-uploaded before a revised version is published.

8. MATCHING, COMMUNICATION AND USER-TO-USER TRANSACTIONS

Where the Platform facilitates an expression of interest or match, Users may be given an option to consent to further communication. Where consent is provided, Just Swap may enable communication through WhatsApp or another external platform.

Just Swap does not provide an in-Platform chat facility unless expressly stated otherwise. Communications through external platforms take place outside the Platform and are subject to the terms and privacy practices of those platforms. Users are responsible for their communications and conduct on external platforms.

Transactions are solely between the relevant Users unless Just Swap expressly undertakes a separate contractual obligation for a specific service. Users determine the terms of a Transaction, including price, exchange terms, delivery or collection, inspection, payment and ownership transfer.

Users are responsible for verifying the identity, authority, ownership, condition, authenticity and suitability of an item and for exercising caution before making payments, disclosing sensitive information or surrendering possession. Just Swap does not guarantee the completion, performance, quality, safety, authenticity, legality or outcome of a Transaction, subject to Applicable Law.

9. PROHIBITED ITEMS, CONTENT AND CONDUCT

Users must not create, upload, publish or otherwise make available a Listing relating to an item that is illegal, stolen, unlawfully obtained or possessed; that the User lacks authority to transfer; that is counterfeit or infringing; that is prohibited or restricted by Applicable Law; or that falls into prohibited categories including weapons, ammunition, explosives, illegal drugs or controlled substances, dangerous materials, protected wildlife, personal or identity documents, payment cards or credentials, or unlawful or sexually explicit material.

Users must not use personal Listings for commercial or retail inventory, recurring business stock or goods offered as part of a commercial business except through a Business Clear-Out service.

Users must not use personal Listings primarily to promote, advertise or conduct an ongoing business or commercial activity, including direct-selling, multi-level marketing, network marketing, recruitment-based selling, business opportunity schemes, referral-based commercial schemes, or the sale or promotion of commercial inventory.

This restriction does not prevent a User from listing an individual item personally owned by the User merely because the item was originally purchased from, or manufactured by, a business or direct-selling company, provided that the Listing otherwise complies with these Terms and the applicable Policies.

Users must not use the Platform or Community for fraudulent, deceptive, unlawful or abusive purposes, impersonate another person or entity, provide false or misleading information, create Listings or submit Community Content without the required authority, publish or share material that is threatening, harassing or unlawful, upload manipulated or misleading photographs or other material, access Accounts without authorisation, interfere with Platform security or operation, use bots or scraping tools without permission, distribute malware or spam, circumvent Platform controls, or otherwise misuse the Platform.

Users must not use Community to publish or share content that unlawfully harms or threatens another person, infringes intellectual property or privacy rights, contains unlawful or prohibited material, or is intended to deceive, defraud, harass, intimidate or unlawfully solicit another person.

A User who submits or shares a name, telephone number, address, photograph, business information or other personal or third-party information through Community must have the rights, authority or consent required for that submission under Applicable Law.

Users must not host, display, upload, modify, publish, transmit, store, update or share Content prohibited under Applicable Law, including Content falling within the categories specified by the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended.

Just Swap may refuse to publish, restrict, suspend or remove Listings, Community Content or other Content that violate these Terms, Applicable Law or the Policies, or that Just Swap determines must be restricted or removed under Applicable Law.

Publication, categorisation or display of a Listing or Community Content does not constitute confirmation, verification, certification or endorsement by Just Swap of the item, person, business, service, information or Content.

Just Swap shall provide Users with such information regarding their obligations under these Terms and Applicable Law, and the consequences of non-compliance, at such intervals and through such means as may be required by Applicable Law.

10. SUSPICIOUS ACTIVITY; REVIEWS, RATINGS AND COMMUNITY CONTENT

Just Swap may review Listings, Community Content, Accounts and Platform activity and use technical or administrative measures to detect fraud, duplicate or suspicious Listings, misuse, security threats and violations of these Terms.

Users may report Community Content or other Platform activity through the reporting mechanism made available on the Platform. Just Swap may review reported Content and may remove, restrict, suspend or decline to publish Content or activity that violates these Terms, Applicable Law or the Policies.

Users must submit honest, relevant and lawful reviews and ratings based on genuine experience and must not offer, request or provide an inducement for a particular rating or review. Just Swap may remove, restrict or decline to publish reviews or ratings that violate these Terms, Applicable Law or the Policies.

Any review, moderation, restriction, removal or other action taken by Just Swap in relation to Community Content or other Content does not constitute verification, certification or endorsement of the Content, person, business, service or information concerned.

Just Swap does not guarantee that its systems or review processes will detect every fraudulent, duplicate, manipulated or suspicious Listing, Community Content, photograph, Account or activity.

11. PLANS, PAID FEATURES, PAYMENTS AND REFUNDS

Just Swap may offer Plans, paid features, Listing options, Community Service Provider visibility, Assisted Services and Business Clear-Out services. Applicable features, Listing limits, visibility, duration, eligibility, pricing and service terms will be displayed at or before purchase.

Where a Plan or paid feature provides Community Service Provider visibility, the applicable service or Plan terms will specify the applicable visibility, duration and other conditions of that feature. Display of a Community Service Provider may end upon expiry, cancellation, suspension or termination of the applicable Plan or paid feature, subject to Applicable Law and the terms applicable to that purchase.

Just Swap may introduce, modify, replace, suspend or discontinue Plans, features, pricing, Listing limits, Listing durations or related commercial terms from time to time. Any such change shall apply to future purchases or renewals and shall not retrospectively alter the material commercial terms of a Plan or service already purchased and paid for by a User, except where required or permitted by Applicable Law or the terms applicable to that purchase. A renewal constitutes a new renewal period and may be subject to the pricing and terms applicable at the time of renewal, which will be displayed or otherwise disclosed at or before renewal as required by Applicable Law. No separate general announcement of a pricing change is required under these Terms unless required by Applicable Law.

Payment for Community Service Provider visibility or any other paid feature does not constitute a guarantee or endorsement by Just Swap of the provider, its services, qualifications, pricing, availability, performance or conduct, except to the extent expressly stated in the applicable service terms or required by Applicable Law.

Plans and paid features are not automatically renewable unless the applicable purchase expressly provides for recurring payment or renewal, in which case the renewal terms will be disclosed before or at purchase.

Payments for Plans, Assisted Services and other paid services are processed through Razorpay, the payment provider designated by Just Swap, and may be subject to Razorpay's applicable terms and privacy practices.

A payment is completed only when confirmed through the applicable payment system. Failed, pending, reversed or otherwise unsuccessful payments do not constitute completed purchases. Applicable taxes and statutory charges will be displayed where required.

Cancellation and refunds are governed by the terms applicable to the relevant Plan or service and Applicable Law. Where a refund is approved, Just Swap may process it through the original payment method or another permitted method. A service or Plan may not be activated, or may be suspended, where payment is not successfully received.

Promotional offers, discount codes or other benefits made available by third-party advertisers or businesses may be communicated to Users by Just Swap and may be subject to the advertiser's or business's own terms, eligibility requirements and validity or redemption periods. Users redeem or use such offers directly with the relevant advertiser or business. Just Swap does not guarantee the availability, validity, acceptance or fulfilment of any such offer and is not responsible for the advertiser's or business's products, services, website or redemption process.

The disclosures required by Applicable Law in relation to Just Swap's own paid services shall be made available to Users at the applicable stage of the relevant purchase or service.

12. ASSISTED SERVICES AND CLEAR-OUTS

Assisted Services may include Home Clear-Outs, Business Clear-Outs and other services described in the applicable service package. The applicable service package may specify the scope, eligibility, fees, payment terms and applicable cancellation, postponement, refund or rescheduling terms.

An initial assessment may be conducted to understand the number, type, condition and suitability of items. An initial site assessment does not guarantee acceptance, Listing or handling of every item identified.

For Home Clear-Outs, the User must provide access to the premises and information required for the service and remains responsible for ownership and authority concerning the items. Just Swap may decline prohibited, unsafe, unsuitable, unlawfully possessed or out-of-scope items.

Business Users may use Business Clear-Out services where offered. A Business User must have lawful ownership or sufficient authority concerning the items submitted and must provide accurate information regarding their nature, quantity, ownership, condition and source. Just Swap may refuse items or services outside the agreed scope or prohibited by Applicable Law or the Policies. Unless expressly included in the applicable Assisted Service and agreed in the applicable service terms, Just Swap does not take ownership, custody or possession of a User's items and does not undertake responsibility for their storage, transportation or safekeeping. Where an Assisted Service expressly includes handling, collection, transportation, storage or temporary custody of an item, the scope of that service and the respective responsibilities of Just Swap and the User shall be governed by the applicable service-specific terms.

13. USER CONTENT AND INTELLECTUAL PROPERTY

Users are responsible for all Content they submit, upload, approve, publish or otherwise make available. Users represent and warrant that they have the rights, permissions and authority required to submit the Content and that it does not violate Applicable Law or third-party rights.

Just Swap may review, moderate, refuse to publish, restrict, technically format or remove Content that violates these Terms, Applicable Law or the Policies, or where action is required by Applicable Law. Just Swap may technically format Content for the operation, presentation or display of the Platform.

By submitting, uploading or approving Content for publication, the User grants Just Swap a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display, communicate, publish, adapt, and use the Content for operating, providing, maintaining, displaying and promoting the Platform and its services, subject to the User's applicable consents, the Privacy Policy and Applicable Law.  

For purposes of Section 57 of the Copyright Act, 1957, the User consents to non-derogatory adaptation of Content for formatting, cropping, resizing or similar technical presentation. This does not extend to an adaptation that distorts, mutilates or is prejudicial to the User's honour or reputation.

A rights-holder may submit an intellectual-property complaint to the designated contact notified by Just Swap, identifying the rights-holder, relevant right and specific Content and providing supporting information. Just Swap may remove or disable access to Content or Listings in accordance with Applicable Law and its procedures. Just Swap does not adjudicate ownership disputes.

All rights in the Platform and materials created or owned by Just Swap remain with Puurnam Circularity LLP or applicable licensors. Users receive only a limited, non-exclusive, non-transferable and revocable right to use the Platform for its intended purposes. Users must not copy, reproduce, modify, distribute, reverse engineer or commercially exploit Just Swap's intellectual property except as permitted by these Terms or with written permission.

14. SOUL STORIES

Just Swap may invite Users to voluntarily submit Soul Stories. By submitting a Soul Story, the User grants Just Swap the rights and licence set out in Clause 13 to host, store, reproduce, display, communicate, adapt, publish and use the Soul Story and accompanying photographs or other Content for operating, providing, maintaining and promoting the Platform and its services.

The User represents and warrants that they have obtained all rights, permissions and consents required under Applicable Law from any person whose name, image, personal data or other identifiable information is included in the Soul Story, including a child. Where a Soul Story contains personal data or an image of a child, the User shall ensure that all consent and other requirements applicable to children under Applicable Law have been satisfied.

Just Swap may edit, format, crop, resize or otherwise modify a Soul Story as necessary for publication, presentation or promotion, subject to Applicable Law and the rights granted under these Terms.

No further approval or consent from the User shall be required for Just Swap to publish or use a submitted Soul Story in accordance with the rights granted under Clause 13 and this Clause 14.

Just Swap may decline to publish, remove or discontinue use of a Soul Story at its discretion or where required by Applicable Law.

15. SUSPENSION, TERMINATION, PRIVACY AND THIRD-PARTY SERVICES

Just Swap may suspend, restrict or disable an Account, Listing privileges, Community participation, Community Content, Community Service Provider visibility, Platform features or services where the User violates these Terms, Applicable Law or the Policies, or where action is necessary to protect the Platform, Users or third parties. Just Swap may also restrict, suspend, modify or discontinue a Listing, Community feature, Community Service Provider visibility or other Platform feature or service where required by Applicable Law or an order or direction of a competent authority, or where necessary to address a legal, regulatory, security or material operational risk. Where a third-party service required for a Platform feature becomes unavailable, restricted or subject to changed requirements, Just Swap may modify, suspend or replace the affected feature or service. Action may be taken without prior notice in cases involving fraud, unlawful activity, security risks or threats to Users or the Platform. Any notice required by Applicable Law will be provided through a legally permitted method.

Users may request Account deletion through functionality made available by Just Swap. Information relating to Accounts, Listings, Community Content, Transactions and Platform activity may be retained for periods and purposes specified in the Privacy Policy, required by Applicable Law, or required for security, fraud prevention, dispute resolution, enforcement of these Terms and business records.

Just Swap's collection, use, storage, disclosure and other processing of personal data is governed by the Privacy Policy and Applicable Law. Where consent is required under Applicable Law, the applicable consent mechanism may be used. Users must not unlawfully disclose another person's personal data through Listings, Content, photographs or communications.

The Platform may use third-party services, including payment processors, communication platforms, hosting providers and other service providers. Such services may be subject to their own terms and privacy policies. Just Swap does not control third-party platforms, subject to Applicable Law.

16. DISCLAIMERS, LIABILITY AND INDEMNIFICATION

The Platform and its features are provided subject to availability and may be modified, interrupted, suspended or discontinued. Just Swap does not guarantee uninterrupted, error-free or completely secure operation.

Just Swap does not guarantee the accuracy, authenticity, quality, safety, legality, availability or suitability of Listings or User-to-User Transactions, except for obligations expressly undertaken by Just Swap in relation to its own services.

To the maximum extent permitted by Applicable Law, Just Swap shall not be liable for indirect, incidental, special, consequential or punitive losses arising from User-to-User Transactions, external communications, third-party services or User Content. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.

To the extent permitted by Applicable Law, a User agrees to indemnify and hold harmless Puurnam Circularity LLP and its partners, designated partners, officers, employees, authorised representatives, contractors and service providers acting in connection with the Just Swap Platform from claims, losses, liabilities, damages, costs and expenses arising from the User's breach of these Terms, unlawful or fraudulent use of the Platform, infringement of third-party rights through User Content or Listings, breach of ownership or authority relating to an item, or violation of Applicable Law.

17. GOVERNING LAW, CHANGES AND GENERAL PROVISIONS

Any dispute arising out of or in connection with these Terms shall be subject to remedies and procedures available under Applicable Law. These Terms are governed by the laws of India. Subject to Applicable Law, courts at Pune, Maharashtra shall have jurisdiction. Nothing in these Terms restricts any statutory right or remedy available to a consumer or other person.

Just Swap may modify these Terms to reflect changes in the Platform, services, business practices, Applicable Law or regulatory requirements. Any notice required by Applicable Law will be provided through a legally permitted method. The updated Terms will state the effective date, and continued use after that date will constitute acceptance to the extent permitted by Applicable Law.

18. GENERAL

If any provision is held invalid or unenforceable, the remaining provisions continue in force to the extent permitted by Applicable Law.

Failure by Just Swap to enforce a provision does not waive its right to enforce it later.

Users may not assign or transfer their rights or obligations under these Terms without Just Swap's prior written consent. Puurnam Circularity LLP may, subject to Applicable Law, assign, transfer, license or otherwise reorganise its rights or obligations relating to the Just Swap Platform, brand, services or business in connection with a restructuring, merger, acquisition, transfer of business or assets, change of operator or similar transaction. Where Applicable Law requires notice to Users in connection with such a transaction, the required notice will be provided.

Persons acting on behalf of Puurnam Circularity LLP in operating, administering, moderating or providing services in connection with Just Swap do so in that representative capacity. No such person becomes a party to these Terms or assumes personal contractual liability to a User solely by reason of performing such functions, except to the extent that liability arises under Applicable Law from that person's own acts or omissions.

These Terms, the Policies and applicable service-specific terms constitute the agreement between the User and Puurnam Circularity LLP concerning the User's access to and use of the Just Swap Platform and applicable services.

19. GRIEVANCE OFFICER

Puurnam Circularity LLP, as the operator of Just Swap, shall designate and publish a Grievance Officer in accordance with Applicable Law. The name and contact details of the Grievance Officer and the applicable grievance mechanism shall be prominently published on the Platform.

Users may submit grievances through the published grievance mechanism. Grievances shall be acknowledged, processed and resolved within the timelines and in accordance with the procedures prescribed by Applicable Law. Nothing in these Terms limits any statutory right or remedy available to a User.
